References to "we", "our" or "us" mean Zavlone Ai Limited. References to "you" or "your" mean the customer (whether an organisation or individual).

2. What These Terms Cover

These Terms & Conditions ("Terms") form a legally binding agreement between you and us for your use of:

• Our instant committee transcription tool
• Our political monitoring services (now or in future)
• Our CRM and related products
• Any associated websites, applications, APIs or integrations we provide.

By using our services, you agree to these Terms. If you do not agree, you must not use our services.

3. Who Can Use Our Services

• You must be at least 18 years old.
• You must have authority to bind your organisation if you sign up on its behalf.
• You must provide accurate registration information and keep it up to date.

4. Your Account

You are responsible for keeping your login details secure and for all activity under your account. If you suspect unauthorised use, contact us immediately.

5. Our Services

We will use reasonable care and skill to provide the services. We do not guarantee uninterrupted access, and we may update, improve, or modify the services at any time.

6. Subscriptions, Fees and Payment

• Services are provided on a subscription basis unless otherwise agreed.
• Fees are stated on our order form, invoice, or website.
• All fees are exclusive of VAT or other applicable taxes.
• Payment is due in advance for each subscription period.
• If payment fails, we may suspend or terminate your access.

7. Your Obligations

• Not use the services in a way that could harm our systems, reputation, or other customers.

8. Intellectual Property

All intellectual property in our services, software, and content belongs to us or our licensors.

You are granted a non-exclusive, non-transferable licence to use our services for your internal business purposes during your subscription.

You must not copy, modify, reverse-engineer, or resell our services unless we agree in writing.

9. Data Protection & Privacy

We process personal data in accordance with our Privacy Policy. You are responsible for ensuring you have a lawful basis to provide us with personal data relating to others.

Both parties must keep confidential any non-public information shared during the provision of the services, unless required by law.

11. Warranties & Disclaimers

We provide our services "as is" except where expressly stated. We do not warrant that:

• They will meet your exact needs
• They will be error-free or uninterrupted
• The data we provide will always be accurate or complete

12. Limitation of Liability

We are not liable for loss of profits, revenue, data, goodwill, or any indirect or consequential loss.

Our total liability to you in any 12-month period is limited to the total fees you paid us in that period.

Nothing in these Terms limits liability for death, personal injury, or fraud.

13. Termination

You may terminate your subscription at the end of your current billing cycle by notifying us in writing.

We may terminate immediately if you breach these Terms.

14. Changes to These Terms

We may update these Terms from time to time. We will give you notice of material changes. Your continued use of the services means you accept the changes.

15. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes will be resolved exclusively in the courts of England and Wales.
